These Terms govern your use of kalyx-labs.com and purchases from Kalyx Labs, LLC (“Kalyx Labs,” “we,” or “us”). Read them with our Research Use Only Policy, Privacy Policy, Shipping Policy, and Refund & Return Policy.

1. Eligibility and research use

You must be at least 21 years old to create a purchasing account or place an order. Our research materials are supplied only for legitimate laboratory research by qualified individuals or organizations in controlled laboratory settings. They are not offered for human or veterinary administration, personal consumption, medical treatment, diagnostic use, or therapeutic use.

You must have the training, qualifications, facilities, and any licenses or permissions needed to lawfully and safely purchase, handle, store, use, and dispose of the materials. If you act for an organization, you must be authorized to do so. The Research Use Only Policy sets out prohibited applications and your responsibilities.

2. Accounts and agreement records

Provide accurate, complete account and purchase information and keep it current. Protect your login credentials and notify us of suspected unauthorized access.

Before purchasing, you must complete your research profile and expressly accept these Terms and the Research Use Only Policy. This applies to existing accounts and accounts created through a third-party sign-in service. A third-party sign-in alone does not complete your research profile or establish acceptance of these policies.

We retain your research-profile information and a record of your acceptance, including the versions accepted and the time of acceptance, as described in our Privacy Policy. Completing the form records your declarations; it does not independently verify your identity, credentials, or facilities. We may request additional information relevant to an order.

3. Orders, availability, and payment

Review your products, quantities, shipping charges, applicable taxes, and total before submitting an order. You authorize payment of the amount displayed when you submit payment. Payments are processed by third-party payment providers. Kalyx Labs does not charge customers a payment-processing fee. We may retain payment status and transaction references to manage your order.

We may decline, limit, or cancel an order for reasons including suspected fraud or misuse, inaccurate information, policy violations, unavailable products, pricing or listing errors, or regulatory concerns. We will contact you about a material change requiring your agreement. If we cancel an unfulfilled order after payment, we will refund the amount due for the cancelled portion as required by law. A cancellation does not authorize an additional charge.

4. Shipping

We ship with UPS within the United States to valid street addresses; we do not ship to P.O. boxes. Orders with payment confirmed before 3 PM Central Time on a business day are dispatched the same day. Orders confirmed at or after 3 PM, or on weekends or holidays, are dispatched the next business day. Business days are Monday through Friday, excluding holidays.

Delivery time depends on the selected service and destination. Same-day dispatch does not mean same-day delivery. See our Shipping Policy for details.

5. Returns, refunds, and order problems

Ordinary sales are final, subject to our purity guarantee, individual review of damaged, incorrect, defective, or missing orders, and applicable legal rights. A valid third-party Certificate of Analysis showing purity below 98%, submitted within 30 days of delivery, qualifies for a full refund for that item.

These policies do not limit rights or remedies that cannot be excluded under applicable law, including applicable payment-dispute rights. Existing orders remain subject to the policy applicable when the order was placed.

6. Information and intellectual property

Our content is for research reference. It is not medical advice, diagnosis, treatment guidance, or instructions for human or animal administration. Laboratory reports and Certificates of Analysis do not establish safety or approval for those uses.

Website text, graphics, logos, images, and software belong to Kalyx Labs or their respective licensors and are protected by applicable intellectual property law. Do not reproduce, distribute, or make unauthorized derivative works from protected content, except as permitted by law or written permission.

7. Communications

We use your contact information for account administration, order confirmations, shipping information, and support. Optional promotional email choices are separate from the required research agreement. You can unsubscribe from promotional emails using the link in the message; essential account and order messages may continue.

Providing a phone number or accepting these Terms does not, by itself, enroll you in marketing text messages. Any marketing text program requires its own disclosures and separate consent.

8. Limitation of liability

To the maximum extent permitted by applicable law, Kalyx Labs is not liable for indirect, incidental, special, consequential, or punitive damages arising from the website or the purchase, use, or misuse of our research materials. To that same extent, our aggregate liability for a claim relating to a product is limited to the amount paid for that product.

These limits do not exclude liability or rights that cannot lawfully be excluded, and do not override our express refund commitments.

9. Responsibility for claims

To the extent permitted by law, you agree to indemnify Kalyx Labs and its affiliates against third-party claims, losses, damages, liabilities, and reasonable legal expenses arising from your unlawful or prohibited use of research materials or your material violation of these Terms. This provision does not require you to indemnify us for our own unlawful conduct or obligations that cannot lawfully be transferred.

10. Governing law

These Terms are governed by applicable United States law and the laws of South Dakota, without regard to conflict-of-law principles. Disputes are subject to the courts in South Dakota, except where applicable law provides a right or forum that cannot be excluded.

11. Updates and account restrictions

We may update these Terms and publish the revised version and its effective date. If a change requires renewed agreement, we will request it before a future purchase. Updated terms do not retroactively change the terms of an existing order.

We may restrict purchasing or suspend an account for suspected fraud, misuse, inaccurate eligibility information, or policy violations, subject to applicable law. Contact support about existing orders or access to your information.
